Terms of Service for Ntur AI

Welcome to Ntur AI. These Terms of Service govern your access to and use of our website and Agent Vault platform. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing ntur.ai or using Agent Vault services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not access or use our services.

2. Description of Services

Ntur AI provides Agent Vault, a Zero-Trust Security Platform for Agentic AI. Our services include cryptographically enforced tool execution, post-quantum encrypted data layers, policy-based access control, and enterprise governance capabilities for autonomous AI agents. Services are provided on a subscription basis or through custom enterprise agreements.

3. User Accounts and Registration

Account Creation

To access certain features of Agent Vault, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.

Enterprise Accounts

For enterprise deployments, additional terms may apply as specified in your Master Services Agreement or Enterprise License Agreement.

4. Intellectual Property Rights

Ownership

All content, features, and functionality of Agent Vault (including but not limited to software, text, graphics, logos, cryptographic implementations, and documentation) are owned by Ntur AI and protected by United States and international copyright, trademark, and other intellectual property laws.

Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Agent Vault for your internal business purposes. This license does not include the right to: (a) resell or make commercial use of our services, (b) modify or create derivative works, (c) reverse engineer our software, or (d) remove any proprietary notices.

5. Acceptable Use Policy

You agree not to use Agent Vault or our website to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit malware, viruses, or malicious code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of our services
  • Use our services to develop competing products or services
  • Engage in any activity that could damage Ntur AI's reputation

6. Privacy and Data Protection

Your use of our services is also governed by our Privacy Policy. We process personal data in accordance with GDPR, CCPA, and other applicable data protection laws. For enterprise customers, data processing terms are specified in separate Data Processing Agreements (DPAs).

7. Disclaimers and Limitations of Liability

Service Availability

Agent Vault is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee uninterrupted or error-free operation. While we implement industry-leading security measures, no system is completely secure.

Limitation of Liability

To the maximum extent permitted by law, Ntur AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities arising from your use of our services. Our total liability shall not exceed the amount paid by you for our services in the 12 months preceding the claim.

Regulated Industries

If you deploy Agent Vault in regulated industries (healthcare, financial services, government), you remain solely responsible for ensuring your implementation complies with applicable regulations (HIPAA, SOX, FedRAMP, etc.). Our platform provides security capabilities, but compliance is your responsibility.

8. Indemnification

You agree to indemnify, defend, and hold harmless Ntur AI, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of our services, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) your deployment of AI agents using our platform.

9. Termination

Termination by You

You may terminate your account at any time by contacting us at av@ntur.ai. Upon termination, your right to access and use Agent Vault will immediately cease.

Termination by Us

We reserve the right to suspend or terminate your access to our services immediately, without prior notice, if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

Effect of Termination

Upon termination, you must cease all use of Agent Vault. Provisions regarding intellectual property, disclaimers, limitations of liability, and indemnification shall survive termination.

10. Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law provisions.

Arbitration

Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action lawsuit.

Exceptions

Either party may seek injunctive relief in court for violations of intellectual property rights or confidentiality obligations.

11. Export Controls

Agent Vault utilizes cryptographic technologies subject to U.S. export control laws and regulations. You agree to comply with all applicable export and import laws and not to export, re-export, or transfer our software to prohibited countries, entities, or persons.

12. Beta Features and Codesign Engagements

Certain features of Agent Vault may be offered as beta, proof-of-concept, or codesign engineering engagements. These features are provided "as is" for evaluation purposes only and may be modified or discontinued at any time. Beta features are not covered by any service level agreements unless explicitly stated in writing.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms. We will provide notice of material changes via email or prominent website notice.

14. Entire Agreement

These Terms, together with our Privacy Policy and any applicable enterprise agreements, constitute the entire agreement between you and Ntur AI regarding your use of our services and supersede all prior agreements and understandings.
